By outlining the framework for the use of Therapy Talk, these Terms aim to ensure transparency, security, and lawful interaction between the Platform and its Users, in compliance with applicable international and local regulations, including but not limited to the Law on the Protection of Personal Data ("KVKK") and relevant Turkish and global data protection laws.

1.2 Acceptance of the Terms

By accessing or using Therapy Talk, creating an account, engaging in AI-assisted conversations, or otherwise interacting with the Platform's wellbeing support features, you acknowledge that you have read, understood, and agreed to be bound by these Terms, together with the Privacy Policy and any other supplementary policies or guidelines that may apply. If you do not agree with any provision of these Terms, you must immediately cease using the Platform. Continued use of the Platform constitutes full acceptance of the Terms in force at the time of use.

Users who act on behalf of legal entities declare and warrant that they are duly authorized to accept these Terms on behalf of their organization.

1.3 Updates and Modifications

Therapy Talk reserves the right to update, revise, or modify these Terms at any time, at its sole discretion. Such modifications may reflect changes in our services, the introduction of new features, compliance with legal requirements, or updates to operational practices. All revisions will be published on the official website, and the "Last Updated" date at the top of the document will indicate the effective version. Users are encouraged to review these Terms periodically. Continued use of the Platform following any modification shall be deemed to constitute acceptance of the updated Terms. If a User does not agree with the revised version, their sole remedy is to discontinue use of the Platform.

2. About Therapy Talk

2.1 Platform Overview

Therapy Talk is an AI-powered mental and emotional wellbeing platform designed to provide a calm, private, and personalized space for individuals seeking support, self-reflection, and emotional guidance. The Platform enables Users to engage in supportive AI-assisted conversations by sharing how they are feeling, answering gentle reflection prompts, and receiving guidance adapted to their current emotional state and wellbeing needs. Therapy Talk is available twenty-four (24) hours a day, seven (7) days a week.

The Platform operates as an informational and supportive companion tool. Therapy Talk does not sell physical goods or provide clinical services. It provides access to AI-based wellbeing guidance tools. Therapy Talk is not a licensed healthcare provider, does not employ therapists or counselors, and does not provide medical diagnoses, psychological assessments, or clinical treatment. All guidance provided through the Platform is for informational, reflective, and supportive purposes only.

2.2 Publisher Information

Therapy Talk is owned, developed, and operated by its founding team. Therapy Talk is responsible for the technical infrastructure, operation, and maintenance of the Platform. While Therapy Talk ensures the stability and security of its infrastructure, the AI models and outputs accessible through the Platform may be powered by third-party AI providers whose technologies are integrated via APIs or other data exchange mechanisms.

2.3 Target Audience and Global Scope

Therapy Talk is designed for adults seeking accessible, non-judgmental, and personalized emotional wellbeing support. The Platform is available internationally, and Users from all jurisdictions are welcome to register and utilize the Platform, provided that their use complies with applicable local laws and regulations.

Given the cross-border nature of AI technologies and data processing, Therapy Talk emphasizes transparency, ethical standards, and lawful use in all interactions with Users, regardless of their location. By engaging with the Platform, Users acknowledge that their activities may involve international data transfers and processing as part of the Platform's global operational model.

2.4 Mental Health and Wellbeing Disclaimer

IMPORTANT: Therapy Talk is not a substitute for professional mental health care, therapy, or crisis intervention. The AI-generated guidance provided through the Platform is intended solely to support emotional reflection, self-awareness, and general wellbeing. It is not a clinical diagnosis, a psychological assessment, or professional therapeutic advice.

If you are experiencing a mental health crisis, thoughts of self-harm or suicide, domestic violence, abuse, or any other emergency situation, please immediately contact emergency services (112 in Turkey, 911 in the US) or a licensed mental health professional. The Platform is not equipped or intended to handle crisis situations.

Therapy Talk expressly disclaims any and all liability arising from reliance on Platform guidance as a substitute for professional mental health care, legal advice, or any other regulated professional service.

3. Account Registration and Access

3.1 User Eligibility

Use of Therapy Talk is open to natural persons who are at least eighteen (18) years of age or the legal age of majority in their country of residence, whichever is greater. By registering an account or otherwise using the Platform, you represent and warrant that you meet these eligibility requirements and that you have the full legal capacity and authority to enter into and comply with this binding agreement.

Individuals who are below the legal age of majority may use the Platform only under the direct supervision and consent of a parent or legal guardian, who accepts full responsibility for the minor's actions, account activity, and compliance with these Terms. Therapy Talk reserves the right to require proof of age or parental consent at any time and to restrict access where such proof is not provided or verified.

3.2 Account Creation and Security

Certain features of Therapy Talk, including accessing personalized conversation history and managing a subscription, require the creation of a personal account. During registration, Users must provide accurate, complete, and current information, including their email address and a password. Any use of false, misleading, or impersonated information may result in immediate account suspension or termination.

Each User is solely responsible for safeguarding their login credentials. Therapy Talk strongly encourages Users to adopt strong and unique passwords. You agree not to disclose your credentials to any third party or allow others to use your account. Therapy Talk shall not be liable for any unauthorized access or actions performed through your account resulting from your failure to maintain adequate security controls.

Users must immediately notify Therapy Talk at support@therapytalk.me of any suspected unauthorized use, security breach, or compromise of their account credentials. Therapy Talk reserves the right to suspend account access temporarily while investigating such incidents.

3.3 Account Responsibilities

Users are fully and solely responsible for all activities carried out under their account. By using the Platform, you agree to operate in good faith and only for lawful and ethical purposes consistent with these Terms and all applicable laws. Users agree not to share, lease, sell, sublicense, or otherwise transfer their account access to any third party without Therapy Talk's prior written approval.

Users are also responsible for ensuring that all submitted content and information used in connection with AI-assisted wellbeing conversations comply with applicable copyright, trademark, and data privacy regulations. Therapy Talk disclaims any responsibility for content submitted by Users and assumes no liability for damages, legal claims, or losses resulting from such activity.

3.4 Account Suspension or Termination

Therapy Talk reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or permanently terminate a User's account if it determines that the User has violated these Terms, engaged in fraudulent, unlawful, or abusive activity, or acted in a way that threatens the security, integrity, or reputation of the Platform.

Therapy Talk may also terminate access if required by law, government order, or regulatory authority. Users will be notified where appropriate, unless prohibited by law or necessary for security reasons.

Users may voluntarily terminate their account at any time through the Platform's user interface or by submitting a written request to Therapy Talk. Upon termination, whether voluntary or initiated by Therapy Talk, all rights to access the Platform and its services shall cease immediately. Any active subscription will be cancelled at the end of the current billing cycle in accordance with the cancellation policy.

4. Subscription Terms

4.1 Free Access

Therapy Talk offers access to a basic tier of wellbeing support at no charge. The free experience allows Users to begin their wellbeing journey, engage with onboarding reflections, and receive an initial level of personalized AI guidance. The free tier is provided as-is and may be modified, limited, or discontinued at Therapy Talk's sole discretion without prior notice or compensation.

4.2 Subscription Plans

Therapy Talk offers subscription-based access plans that unlock extended and ongoing access to the Platform's personalized wellbeing guidance features. Subscription details, including available plans and pricing, are presented during the registration and checkout process on the Platform. By subscribing, you expressly authorize Therapy Talk to charge your selected payment method at the beginning of each billing cycle on a recurring basis until you cancel your subscription.

Therapy Talk reserves the right to introduce, modify, or discontinue specific subscription tiers or features with advance notice to Users.

4.3 Payment Methods and Processing

All payments for subscription plans are processed through authorized third-party payment processors integrated into the Platform. Accepted payment methods include internationally recognized credit and debit cards and other payment options as presented at checkout. By completing a subscription purchase, the User expressly authorizes Therapy Talk and its designated payment partners to debit the total subscription amount from the selected payment method on a recurring basis.

Users are responsible for ensuring that their payment information is accurate, valid, and current. In the event of a declined payment, Therapy Talk may suspend or downgrade the User's subscription until payment is successfully processed. Third-party payment processors operate under their own terms of service and privacy policies, which Users are encouraged to review. All financial data is transmitted via encrypted communication channels in compliance with applicable payment security standards.

4.4 Pricing Changes

Therapy Talk reserves the right to revise subscription pricing at any time. Any pricing changes will be communicated to active subscribers in advance via email or in-Platform notification prior to the next billing date. Continued use of the subscription after the effective date of a price change constitutes acceptance of the new pricing. If a User does not agree with the revised pricing, they may cancel their subscription before the price change takes effect.

4.5 Cancellation Policy

Users may cancel their subscription at any time through their account dashboard prior to the next billing date. Cancellation will take effect at the end of the current billing cycle. The User will retain access to paid features until the end of the paid period. No partial refunds will be issued for the unused portion of a billing cycle.

4.6 Refund Policy

All subscription purchases are generally considered final and non-refundable given the digital and immediately accessible nature of the service. However, Therapy Talk may, at its sole discretion, consider refund requests on a case-by-case basis in exceptional circumstances, such as:

Users requesting a refund must submit a written request to support@therapytalk.me within fourteen (14) days of the transaction date, providing proof of payment, transaction details, and a description of the issue. Refunds, where approved, will be processed to the original payment method within a reasonable period, typically not exceeding thirty (30) business days.

Refunds will not be granted for dissatisfaction with the AI guidance quality or outcomes, as the nature and scope of AI-generated responses are inherently variable and are disclosed in these Terms and the wellbeing disclaimer. Therapy Talk expressly disclaims any obligation to provide refunds resulting from service interruptions, internet connectivity issues, or third-party system outages beyond its reasonable control.

4.7 Currency and Taxation

All transactions on Therapy Talk are processed in United States Dollars (USD) unless otherwise indicated at checkout. Users are responsible for any currency conversion or bank fees applied by their financial institution. Users are solely responsible for determining and paying any taxes that may arise from their use of the Platform or purchase of subscriptions, including value-added tax (VAT), goods and services tax (GST), or other levies. Therapy Talk reserves the right to collect or withhold taxes as required by applicable law.

5. AI-Based Wellbeing Services

5.1 Scope of AI Services

Therapy Talk provides Users with access to an AI-powered wellbeing guidance system that enables personalized, supportive conversations adapted to the User's current emotional state. The Platform's AI capabilities include, but are not limited to:

The Platform continuously evolves by integrating new AI capabilities and wellbeing support modules. Users acknowledge that AI models are based on probabilistic algorithms and datasets that may not always produce consistent or expected outcomes. The AI tools are intended for lawful, informational, and reflective use only.

5.2 Nature and Limitations of AI Guidance

Users expressly acknowledge and agree that all guidance provided by the Therapy Talk AI system is:

Users should always consult a licensed mental health professional for any clinical decisions regarding their psychological wellbeing. In cases involving potential mental health crises or urgent distress, Users should contact a qualified mental health professional or emergency services immediately rather than relying solely on Platform guidance.

5.3 Third-Party AI Integrations

The AI functionalities offered on Therapy Talk may be powered in whole or in part by third-party AI service providers. These providers deliver specialized models or computing frameworks integrated into the Platform's infrastructure. By using Therapy Talk, Users acknowledge and consent that certain data, including conversation inputs and preferences, may be temporarily transmitted to or processed by third-party systems solely for the purpose of fulfilling the requested service.

Therapy Talk disclaims liability for any interruption, delay, inaccuracy, or degradation of service resulting from third-party system failures, provider updates, or discontinued models. In the event that a third-party provider withdraws or modifies its service, Therapy Talk may remove or replace the affected feature without prior notice.

5.4 Technical Limitations and No Warranty

Therapy Talk makes no warranty, express or implied, regarding the accuracy, completeness, or fitness for purpose of any AI-generated guidance. Users understand that AI systems may occasionally produce content that is incomplete, contextually inaccurate, or not fully aligned with the User's situation.

It remains the User's sole responsibility to review AI-generated guidance critically and to consult a licensed mental health professional before making any significant decisions based on such guidance. The Platform may undergo scheduled maintenance, performance tuning, or temporary service interruptions. Therapy Talk shall not be liable for delays or temporary unavailability arising from such operational necessities.

6. User-Generated Content and Responsibilities

6.1 Submitted Content and Conversations

Therapy Talk allows Users to submit conversation inputs, feelings, reflections, and personal context as part of engaging with the AI wellbeing system. By submitting such content, Users grant Therapy Talk a limited, non-exclusive, revocable, and royalty-free license to process, store, and use the submitted materials solely for the purpose of delivering the requested AI guidance service or improving Platform performance. This license does not grant Therapy Talk any ownership or publication rights beyond those necessary to operate the Platform.

Users must ensure that all submitted content is lawful and does not infringe on the rights of any third party. Therapy Talk may, at its discretion, screen, restrict, or remove any content that violates these Terms or applicable laws. Therapy Talk is not obliged to actively monitor all submitted content and assumes no liability for any content provided by Users.

6.2 Legal Use and Compliance

All activities conducted on Therapy Talk must comply with all applicable local, national, and international laws. Users are solely and entirely responsible for ensuring that their access to and use of the Platform conforms to the laws and ethical standards of their jurisdiction. Therapy Talk expressly disclaims liability for any use of the Platform that results in the violation of local or international law by the User.

The Platform may not be used for any activity that is illegal, unethical, or intended to deceive. Users are prohibited from misrepresenting AI-generated guidance as professional therapeutic or clinical advice, or from using the Platform in any manner that could harm other Users or third parties.

When submitting personal data — whether belonging to the User or a third party — the User confirms that they have obtained all necessary consents and authorizations required under applicable data protection laws, including KVKK, GDPR, and equivalent international privacy frameworks.

6.3 Prohibited Uses and Content

Users are strictly prohibited from using Therapy Talk to generate, submit, store, or distribute any material or data that violates applicable laws, regulations, or ethical standards. Specifically, Users agree not to use the Platform to:

6.4 User Liability and Indemnification

Users are fully, solely, and irrevocably liable for all content they submit or otherwise make available through the Platform. By submitting inputs and using the Platform's AI tools, the User expressly agrees to indemnify, defend, and hold harmless Therapy Talk, its affiliates, officers, directors, employees, licensors, agents, and partners (collectively, "Therapy Talk Parties") from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

7. Platform Responsibilities and Limitations

7.1 Service Availability

Therapy Talk endeavors to provide continuous and reliable access to the Platform and its AI-based wellbeing services. However, availability may be affected by maintenance, upgrades, network failures, or events beyond Therapy Talk's reasonable control. While Therapy Talk strives to minimize disruption, it does not guarantee uninterrupted operation or error-free performance. Users acknowledge that occasional downtime or performance fluctuations are inherent to online services and do not entitle them to compensation or refunds.

7.2 Data Protection and Security

Therapy Talk is committed to safeguarding User data in accordance with KVKK, GDPR, and other applicable privacy frameworks. The Platform employs encryption, secure access controls, and risk-based data management practices to protect personal information.

However, Users understand that no online system is entirely immune to security breaches, and Therapy Talk cannot guarantee absolute data security. In the event of a data incident, Therapy Talk will take prompt remedial measures and, where required by law, notify affected Users and authorities.

7.3 Disclaimer of Liability for AI Outputs

AI-generated guidance made available through Therapy Talk is produced by automated computational processes. Therapy Talk does not control, predict, or intervene in the specific content of AI-generated responses. Accordingly, guidance may vary in accuracy, relevance, and consistency, and may occasionally include incomplete or inaccurate information.

To the maximum extent permitted by applicable law, Therapy Talk and all AI-based services are provided "as is," "as available," and "with all faults." Therapy Talk, its affiliates, licensors, and service providers make no warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of data, or reliability of results.

Therapy Talk shall not, under any circumstances, be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to: (a) the use of or inability to use the Platform or its AI wellbeing services; (b) errors, inaccuracies, or limitations in AI-generated guidance; (c) reliance on Platform guidance in lieu of professional mental health care; (d) unauthorized access, hacking incidents, or data breaches; (e) service interruptions, delays, or software malfunctions; or (f) failures or outages of third-party integrations.

In jurisdictions that do not permit the exclusion or limitation of certain implied warranties or liabilities, Therapy Talk's total cumulative liability arising from or related to the use of the Platform shall in no event exceed the total amount paid by the User for subscription services in the three (3) months preceding the event giving rise to the claim.

8. Data Privacy and Processing

8.1 Data Collection and Purpose

8.2 Wellbeing and Conversation Data

In addition to standard account and usage data, Therapy Talk collects and processes emotional wellbeing information, including reflections, feelings, conversation inputs, and wellbeing preferences submitted by Users. This data is used exclusively to provide personalized AI guidance, improve the Platform's AI models, and maintain conversation history for registered Users. Therapy Talk treats wellbeing data with the highest degree of care and security and does not sell or share such data with third parties for commercial purposes except as disclosed in its Privacy Policy.

8.3 Private by Design

Therapy Talk is designed with privacy as a core principle. Your conversations are private and are not shared with other users. You are always in control of what you share. Users may request deletion of their conversation data by contacting Therapy Talk at support@therapytalk.me.

8.4 User Rights

For further information on how to exercise your rights of access, rectification, erasure, restriction of processing, and data portability, please refer to the Privacy Policy available on Therapy Talk. Users may submit requests via email to support@therapytalk.me. Therapy Talk will respond within the applicable statutory deadlines.

8.5 Compliance with KVKK and GDPR

Therapy Talk processes personal data in strict accordance with the Law on the Protection of Personal Data (No. 6698 — KVKK), the EU General Data Protection Regulation (GDPR), and relevant international standards. The lawful bases for processing include:

9. Intellectual Property Rights

9.1 Platform Content

All materials available on Therapy Talk — including but not limited to the website design, graphical elements, user interface, layout, text, illustrations, animations, icons, images, source code, software frameworks, databases, documentation, and other proprietary components — are the exclusive property of Therapy Talk or its licensors. These materials are protected under applicable copyright, trademark, patent, and trade secret laws.

Users are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Platform and its services strictly for personal use in accordance with these Terms. This license does not include any rights to copy, reproduce, or redistribute Platform content; modify or create derivative works of Therapy Talk's software or documentation; reverse-engineer or decompile any part of the Platform; or circumvent access controls or proprietary security mechanisms.

9.2 Trademarks and Branding

All logos, trademarks, service marks, trade names, and branding elements appearing on the Platform, including without limitation the "Therapy Talk" name and logo, are and shall remain the exclusive property of Therapy Talk or its affiliates. Users are strictly prohibited from using, reproducing, or otherwise exploiting Therapy Talk's trademarks or branding materials without prior written authorization.

9.3 AI Output Ownership

Subject to compliance with these Terms and all applicable laws, Users shall retain usage rights over AI-generated wellbeing guidance outputs received through their lawful use of Therapy Talk. However, Users acknowledge that AI-generated guidance outputs are informational content, not original creative works, and may not qualify for intellectual property protection in all jurisdictions. The underlying AI models, algorithms, and interfaces remain the exclusive property of Therapy Talk or its licensors.

10. Limitation of Liability

10.1 Platform as an AI Wellbeing Tool

Therapy Talk operates solely as a technological intermediary that facilitates access to AI-based mental and emotional wellbeing guidance tools. The Platform provides a supportive environment for Users to engage in reflective conversations and receive personalized guidance, but does not function as a clinical service provider, licensed therapist, medical content publisher, or licensed healthcare entity.

10.2 Exclusions and Limitations

To the maximum extent permitted by law, Therapy Talk, its affiliates, employees, and licensors disclaim all liability for any form of loss, damage, or injury, whether direct, indirect, incidental, consequential, exemplary, or punitive, arising out of or related to: the use of or inability to use the Platform or its AI wellbeing services; reliance on AI-generated guidance in lieu of professional mental health care; errors, inaccuracies, or limitations in AI-generated outputs; unauthorized access, hacking incidents, or data breaches; service interruptions, delays, bugs, or software malfunctions; failures or outages of third-party integrations; or data loss, corruption, or deletion of content.

In no event shall Therapy Talk's total aggregate liability to any User exceed the total amount paid by that User for subscription services within the three (3) months immediately preceding the event giving rise to the claim.

10.3 Indemnification

Users agree to indemnify, defend, and hold harmless Therapy Talk, its affiliates, officers, directors, employees, agents, licensors, and service partners from and against any and all claims, demands, actions, liabilities, losses, or expenses (including reasonable attorneys' fees) arising out of or related to: the User's use or misuse of the Platform or AI wellbeing services; any violation of these Terms or applicable law; any breach of intellectual property, privacy, or proprietary rights by the User; or misuse of third-party intellectual property accessed via the Platform.

11. Termination and Account Closure

11.1 Termination by User

Users may terminate their Therapy Talk account at any time by following the in-platform deletion process or by submitting a written request to support@therapytalk.me. Upon termination, all access to the Platform and associated services will cease immediately. Any active subscription will be cancelled at the end of the current billing cycle, and no partial refunds will be issued. Any stored data or conversation history may be permanently deleted in accordance with Therapy Talk's data retention policy.

11.2 Termination by Platform

Therapy Talk reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or permanently terminate a User's account for reasons including, but not limited to:

In the event of termination for cause, all subscription access associated with the User's account may be forfeited without refund or compensation. Therapy Talk shall not be liable for damages resulting from suspension or termination.

11.3 Consequences of Termination

Upon termination, all rights and licenses granted under these Terms shall immediately cease. Any obligations that by their nature are intended to survive termination — including those related to intellectual property, limitation of liability, indemnification, and dispute resolution — shall remain in full effect. Termination of an account does not prevent Therapy Talk from pursuing civil or criminal remedies against Users who have violated these Terms or applicable law.

12. Dispute Resolution and Governing Law

12.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law principles. Users accessing the Platform from other jurisdictions do so voluntarily and are responsible for compliance with local laws where applicable.

12.2 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to the use of the Platform, the subscription services, AI-generated guidance, or the interpretation and performance of these Terms, the parties shall first seek to resolve the matter amicably through negotiation. Users are encouraged to contact support@therapytalk.me to initiate an internal resolution process before pursuing any formal remedy.

If the dispute cannot be resolved amicably within thirty (30) days, the applicable forum for resolution shall depend on the status of the User as defined under Turkish law:

(a) For Consumer Users: If the User qualifies as a "consumer" within the meaning of the Turkish Consumer Protection Law (Law No. 6502), disputes shall first be submitted to the Consumer Arbitration Committee with jurisdiction over the User's place of residence or the place where the transaction occurred, in accordance with the monetary limits and procedures established by the Regulation on Consumer Arbitration Committees issued by the Ministry of Trade of the Republic of Turkey.

(b) For Commercial or International Users: If the User does not qualify as a "consumer" under Turkish law, any dispute arising out of or in connection with these Terms shall be finally settled by arbitration under the Istanbul Arbitration Centre (ISTAC) Arbitration Rules. The arbitration shall be conducted in English or Turkish, as determined by Therapy Talk. The seat of arbitration shall be Istanbul, Turkey. The arbitral tribunal shall consist of one (1) arbitrator appointed in accordance with ISTAC rules.

Nothing in this clause shall limit or restrict any mandatory legal rights available to consumers under Turkish or international law.

12.3 Alternative Dispute Resolution

Before initiating formal legal proceedings, the parties shall make reasonable efforts to resolve disputes amicably through negotiation or mediation. Therapy Talk may, at its discretion, propose mediation via an independent dispute resolution service based in Turkey. 13. Miscellaneous Provisions

13.1 Entire Agreement

These Terms, together with Therapy Talk's Privacy Policy and any applicable supplementary policies, constitute the entire agreement between the User and Therapy Talk concerning the use of the Platform and supersede all prior understandings, communications, or agreements, whether written or oral.

13.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a competent court, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid term that most closely reflects the intent of the original.

13.3 Waiver

No waiver by Therapy Talk of any term, breach, or default shall be deemed a waiver of any subsequent breach or of the same or similar nature unless expressly stated in writing. Failure to enforce a provision shall not constitute a waiver of rights.

13.4 Assignment

Users may not assign, transfer, or delegate any rights or obligations under these Terms without Therapy Talk's prior written consent. Therapy Talk may assign or transfer its rights and obligations under these Terms to any affiliate, successor, or acquirer as part of a merger, reorganization, or sale of assets, provided such transfer does not diminish the rights of Users.
